Terms of Service

Welcome to ThrottleTales. These Terms of Service ("Terms") govern your access to and use of the ThrottleTales website located at ThrottleTales.com (the "Site") and all related services, features, content, and applications offered by ThrottleTales (collectively, the "Service"). By accessing or using ThrottleTales.com, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

Subject to your compliance with these Terms, ThrottleTales grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal, non-commercial use. THROTTLETALES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

ThrottleTales does not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components. ThrottleTales does not warrant or make any representations regarding the use or results of the use of the Service in terms of accuracy, reliability, or otherwise. You assume all risk for any damage to your computer system or loss of data that results from obtaining any content from the Service.

ThrottleTales does not endorse, warrant, or guarantee any content, product, or service offered by third parties through the Service. ThrottleTales is not a party to and does not monitor any transaction between users and third-party providers of products or services. User Content reflects the opinions and views of the users who post such content and does not reflect the opinions or views of ThrottleTales.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THROTTLETALES, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE losses, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY USER CONTENT OBTAINED FROM THE SERVICE; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT THROTTLETALES HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL THE TOTAL LIABILITY OF THROTTLETALES TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO THROTTLETALES IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you. In such jurisdictions, ThrottleTales's liability will be limited to the greatest extent permitted by law.

9. Indemnification

You agree to defend, indemnify, and hold harmless ThrottleTales, its affiliates, and their respective officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use or misuse of the Service; (c) your User Content; (d) your violation of any rights of another party, including any users; or (e) your violation of any applicable laws, rules, or regulations.

ThrottleTales reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with ThrottleTales in asserting any available defenses. This indemnification obligation will survive the termination of these Terms and your use of the Service.

10. Termination

ThrottleTales reserves the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, at our sole discretion. Grounds for termination may include, but are not limited to, violation of these Terms, fraudulent or illegal activity, extended periods of inactivity, or conduct that ThrottleTales believes is harmful to other users, ThrottleTales, or third parties.

You may terminate your account at any time by discontinuing use of the Service and, if applicable, deleting your account through the account settings. Upon termination, your right to use the Service will immediately cease. ThrottleTales will not be liable to you or any third party for termination of your account or access to the Service.

All provisions of these Terms that by their nature should survive termination shall survive termination, including but not limited to ownership provisions, warranty disclaimers, indemnity obligations, and limitations of liability. Termination of your account does not relieve you of any obligations incurred prior to termination.

11. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the United States and the State of California, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located within the State of California for the resolution of any disputes.

Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in California, and the parties irrevocably consent to the personal jurisdiction and venue therein. You waive any objection to jurisdiction and venue in such courts.

If you have a dispute with ThrottleTales, you agree to first contact us at the email address provided below and attempt to resolve the dispute informally. If we cannot resolve the dispute informally, you and ThrottleTales agree to resolve any claims relating to these Terms or the Service through final and binding arbitration, except that you may assert claims in small claims court if your claims qualify.

12. Changes to Terms

ThrottleTales reserves the right to modify or update these Terms of Service at any time, at our sole discretion. When we make changes, we will post the updated Terms on ThrottleTales.com and update the "Last Updated" date at the top of these Terms. Any attempt by you to assign or transfer these Terms without such consent will be null and void. ThrottleTales may assign or transfer these Terms, at its sole discretion, without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties and their respective successors and permitted assigns.
